The agreement that governs use of the HELIX platform on web, mobile, and desktop. Written to be read, with a plain-language note under each section.
These Terms of Use ("Terms") are a binding agreement between you and Holder Construction Group, LLC ("HELIX," "we," "us," or "our") governing your access to and use of the HELIX construction management platform, including the web application, the HELIX mobile applications, the Windows sync utility, our application programming interfaces, and the helixteam.com website (together, the "Service").
By creating an account, accepting a project invitation, clicking to accept, or otherwise accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization. If you do not agree, do not use the Service.
If your organization has a separate written subscription agreement or master services agreement with HELIX, that agreement controls to the extent it conflicts with these Terms.
Using HELIX means you accept these rules. If your company signed its own contract with us, that contract wins where it differs from this page.
The Service is a professional tool intended for use by businesses and the people who work for them. You must be at least 18 years old and able to form a binding contract to use the Service. You may not use the Service if you are barred from doing so under applicable law or if we have previously suspended or removed you.
HELIX is for working adults on construction projects. You must be 18 or older.
You need an account to use most of the Service. You agree to provide accurate, current information and to keep it updated. You are responsible for all activity under your account and for keeping your login credentials confidential. Notify us immediately at security@helixteam.com if you suspect unauthorized use.
Accounts are personal. You may not share credentials, allow anyone else to use your account, or use anyone else's account. Site identification and badging features depend on each person being accurately identified; misrepresenting identity on a jobsite is a material breach of these Terms.
Keep your login to yourself, keep your details accurate, and tell us right away if something looks wrong. One person, one account. Never badge in as someone else.
The Service organizes information by project. Each project has one or more organizations designated as the project host ("Host") whose administrators control who may join the project, what role each person holds, and what content each role may view or edit. Participating organizations ("Participants") and their users receive access as configured by the Host.
Hosts are responsible for the permissions they configure and for the conduct of the users they invite. HELIX acts on instructions from Host administrators, including instructions to add, change, or remove users and to export or delete project content, and we are not responsible for the consequences of those instructions.
You acknowledge that other project members will see content you contribute according to the permissions set by the Host, and that the Host may retain and use the project record after your involvement ends.
Every project has a host company whose admins decide who is on the project and what each role can see. If you post something to a project, the other people on that project can see it, and the host keeps the project record even after you leave.
Subject to these Terms, HELIX grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service, and to install and use the mobile applications and sync utility on devices you own or control, solely for your internal business purposes in connection with construction projects on which you are authorized to participate.
We reserve all rights not expressly granted. Except as permitted by law, you may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or attempt to extract the source code of the Service or any part of it.
You can use HELIX for your construction work. You cannot copy it, resell it, or take it apart.
You agree not to: (a) use the Service in violation of any law, regulation, or third-party right; (b) upload content that is unlawful, defamatory, harassing, or infringing; (c) upload malware or interfere with the security, integrity, or performance of the Service; (d) access the Service through automated means other than our documented APIs; (e) probe, scan, or test the vulnerability of the Service without our written permission; (f) use the Service to build a competing product; (g) remove or alter any proprietary notices; or (h) circumvent access controls, permissions, or site access systems.
We may investigate suspected violations and may remove content, suspend accounts, or take other action we consider appropriate, including cooperation with law enforcement.
Do not break the law, harass people, upload viruses, scrape the platform, or try to get around permissions. If you do, we can remove content or suspend your account.
"Customer Content" means all drawings, specifications, models, photos, videos, documents, RFIs, submittals, cost data, checklists, messages, and other material you or your organization upload to or create in the Service. As between you and HELIX, you or your organization retain all ownership rights in Customer Content.
You grant HELIX a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, transmit, and otherwise process Customer Content solely as necessary to provide, secure, support, and improve the Service, to comply with law, and as directed by the Host of the relevant project. You represent that you have all rights necessary to upload Customer Content and to grant this license.
HELIX may collect and use data about how the Service is used ("Usage Data") in de-identified or aggregated form to operate and improve the Service. Usage Data does not identify you, your organization, or any project.
You are responsible for maintaining your own copies of Customer Content. Export tools are provided within the Service. Following termination of a project or subscription, we will make Customer Content available for export for at least 30 days, after which we may delete it in accordance with our retention practices.
Your drawings, photos, and records are yours. You give us permission to store and process them so HELIX works. We may look at anonymous usage patterns to improve the product. Keep your own backups; after a project ends you have at least 30 days to export before we may delete it.
The HELIX mobile applications may store Customer Content on your device to support offline work at the jobsite. You are responsible for securing devices on which the applications are installed, including using a device passcode. When your access to a project is removed, locally cached content for that project may be deleted from your device on next sync.
The applications may request access to your camera, photo library, location, and notifications to enable features such as photo documentation, QR and barcode scanning, and site identification. You may manage these permissions in your device settings; some features will not function without them.
Downloads from the Apple App Store or Google Play are also subject to the terms of those stores. Apple and Google are not parties to these Terms and have no obligation to provide support for the applications.
The app keeps a copy of project data on your phone so you can work without signal. Lock your phone. The app asks for camera and location access for photos, scanning, and site check-in; you can turn those off, but some features will stop working.
If you provide a mobile phone number and agree to receive text messages, HELIX may send you text messages about your account and your projects, including one-time verification codes, sign-in security codes for multi-factor authentication, and safety notices for projects you belong to.
Message frequency varies. Message and data rates may apply. Reply HELP for help, or contact support@helixteam.com. You may opt out at any time by replying STOP to any message, or by any other reasonable means, such as emailing support@helixteam.com. After you opt out, we will send one message confirming it and no further text messages unless you opt in again.
Carriers are not liable for delayed or undelivered messages. Text messages may be delayed or not delivered if your device is off or out of coverage, so do not rely on them as your only source of jobsite safety information. Our Privacy Policy explains how we handle your mobile number. We do not share your mobile number, or your consent to receive text messages, with third parties or affiliates for their marketing purposes.
If you give us your mobile number, we text you sign-in codes and safety notices. Reply STOP to stop or HELP for help. Your carrier may charge for texts. Texts can be delayed, so don’t count on them as your only safety alert.
The Service interoperates with third-party products and services, including site access control systems, code scanning, and customer-built integrations using our APIs. Your use of any third-party service is governed by that provider's terms, and HELIX is not responsible for third-party services or for content exchanged with them at your or the Host's direction.
If you use our APIs, you must comply with our API documentation, respect rate limits, keep credentials confidential, and use data obtained through the APIs only for the authorized project purpose. We may change or discontinue APIs with reasonable notice.
HELIX connects to other tools like access-control hardware. Those tools have their own terms, and we are not responsible for them. If you build on our APIs, follow the documentation and keep your keys secret.
Access to the Service is provided under subscriptions or project agreements with Hosts. Fees, billing periods, and payment terms are set out in the applicable order or agreement. Unless otherwise stated, fees are non-refundable, exclusive of taxes, and payable in U.S. dollars. Late payments may accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is less, and we may suspend access to the Service for accounts more than 30 days past due after notice.
Pricing is set in your company’s agreement with us. Fees are not refundable, taxes are extra, and we may suspend access if bills go unpaid for over 30 days after we notify you.
Each party may receive non-public information of the other party or of other project participants in connection with the Service ("Confidential Information"). Each party will use Confidential Information only as permitted by these Terms and will protect it with at least reasonable care. Confidential Information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction. A party may disclose Confidential Information when required by law, provided it gives reasonable advance notice where legally permitted.
Both sides keep each other’s private information private and use it only for the project.
The Service, including its software, design, text, graphics, trademarks (including HELIX® and "Know everything"), and all related intellectual property, is owned by HELIX and its licensors and is protected by U.S. and international law. Nothing in these Terms transfers any ownership of the Service to you.
If you provide suggestions, ideas, or other feedback about the Service, you grant HELIX a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.
We own HELIX. If you send us ideas for improving it, we can use them without owing you anything.
Our Privacy Policy explains what information we collect, how we use it, and the choices you have. By using the Service, you acknowledge that personal information, including information about jobsite presence and activity, will be processed as described there and will be visible to project members according to Host-configured permissions.
Read the Privacy Policy. Note that information like when you badged onto a site is visible to the project team.
These Terms apply from the moment you first use the Service and continue until terminated. You may stop using the Service at any time; Host administrators may remove users from projects at any time. We may suspend or terminate your access immediately if you materially breach these Terms, if required by law, if your Host's subscription ends or is unpaid, or if we reasonably believe your use poses a security or safety risk to the Service or to a project.
Upon termination, your right to use the Service ends, but provisions that by their nature should survive (including ownership, disclaimers, limitations of liability, indemnification, dispute resolution, and general terms) will survive.
You can leave any time; your project admin can remove you any time; we can cut off access if you break the rules or create a security risk. Some sections, like the liability limits, keep applying afterward.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, HELIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. HELIX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DATA WILL NOT BE LOST.
THE SERVICE IS AN INFORMATION MANAGEMENT TOOL. IT IS NOT A SUBSTITUTE FOR PROFESSIONAL JUDGMENT, ENGINEERING OR ARCHITECTURAL SERVICES, SAFETY PROGRAMS, CODE COMPLIANCE, OR YOUR OWN VERIFICATION OF PROJECT INFORMATION. YOU ARE SOLELY RESPONSIBLE FOR THE ACCURACY OF CUSTOMER CONTENT AND FOR DECISIONS MADE IN RELIANCE ON INFORMATION IN THE SERVICE, INCLUDING SAFETY, QUALITY, COST, AND SCHEDULE DECISIONS.
We provide HELIX as-is and do not promise it will never go down or lose data. HELIX helps you manage information; it does not replace engineers, safety programs, or checking the drawings yourself. Decisions on the job are yours.
TO THE FULLEST EXTENT PERMITTED BY LAW, HELIX AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, OR FOR PROJECT DELAYS, REWORK, OR COST OVERRUNS, ARISING OUT OF OR RELATED TO THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
HELIX'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES PAID TO HELIX FOR THE SERVICE BY YOU OR YOUR ORGANIZATION IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.
We are not responsible for indirect losses like lost profits or project delays. Our total responsibility is capped at what your company paid us in the prior 12 months, or $100, whichever is more.
You will defend, indemnify, and hold harmless HELIX and its affiliates, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) Customer Content you upload; (b) your use of the Service in violation of these Terms or applicable law; or (c) your violation of any third-party right. HELIX may control the defense of any claim subject to indemnification, and you agree to cooperate.
If your content or your misuse of HELIX gets us sued, you cover the cost.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Informal resolution. Before filing a claim, you agree to contact us at legal@helixteam.com with a written description of the dispute and to negotiate in good faith for at least 60 days.
Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted in Atlanta, Georgia, by a single arbitrator, in English. The arbitrator may award any relief a court could award to the individual party, and judgment on the award may be entered in any court of competent jurisdiction. Either party may seek injunctive relief in court to protect intellectual property or Confidential Information pending arbitration.
Class action waiver. YOU AND HELIX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims of more than one party.
Jury trial waiver. To the extent any dispute proceeds in court, YOU AND HELIX EACH WAIVE ANY RIGHT TO A JURY TRIAL.
Opt-out. You may opt out of this arbitration agreement by emailing legal@helixteam.com within 30 days of first accepting these Terms, stating your name, organization, and intent to opt out.
If we have a dispute, we first try to work it out for 60 days. If that fails, it goes to a private arbitrator in Atlanta rather than a court, one case at a time (no class actions, no jury). You can opt out of arbitration by emailing us within 30 days of signing up.
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Georgia, without regard to its conflict-of-laws principles, and by the Federal Arbitration Act. Subject to the arbitration section, the state and federal courts located in Fulton County, Georgia will have exclusive jurisdiction over any dispute, and you consent to personal jurisdiction and venue there.
Georgia law applies. Anything that does go to court goes to court in Atlanta.
We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms with a new effective date and, where appropriate, by email or in-product notice at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.
We may change these Terms. For big changes we give you 30 days’ notice. Keep using HELIX after that and the new terms apply.
Entire agreement. These Terms, together with the Privacy Policy and any applicable subscription agreement, are the entire agreement between you and HELIX regarding the Service and supersede prior agreements on the subject.
Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization, or sale of assets.
Severability and waiver. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remainder will remain in effect. Our failure to enforce a provision is not a waiver.
Export and government use. You will comply with U.S. export laws and will not use the Service in embargoed countries or for prohibited end uses. The Service is "commercial computer software" for purposes of U.S. government acquisition regulations.
Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, including natural disasters, labor disputes, utility or internet failures, or governmental action.
Notices. Legal notices to HELIX must be sent to Holder Construction Group, LLC, Attn: Legal, 3300 Riverwood Parkway, Suite 1200, Atlanta, GA 30339, with a copy to legal@helixteam.com. We may notify you by email to your account address or through the Service.
Standard contract housekeeping: this is the whole deal, you cannot hand it off to someone else without asking, if one clause fails the rest stands, follow export laws, and neither side is blamed for things like hurricanes or internet outages.
